SHP TEAM is the official digital platform of SkilledHubPartners, designed for client management, vendor onboarding, supplier marketing, project coordination, business communication, and operational management.

By visiting the website, registering an account, using SHP TEAM, requesting services, or accessing any platform features, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not use the website or SHP TEAM.

The following terms carry the meanings set out below throughout this document.

Access to the website and SHP TEAM is intended for individuals who are at least 18 years of age and who have the legal capacity to enter into a binding agreement under applicable law. By using the website or SHP TEAM, you confirm that you meet these requirements and that any organisation you represent has properly authorised you to act on its behalf.

SkilledHubPartners reserves the right to request proof of eligibility and to restrict or suspend access where these requirements are not met.

SkilledHubPartners provides project management, business facilitation, professional coordination, vendor verification, supplier marketing, and digital platform services through SHP TEAM. The exact scope of Services provided to any Client, Vendor, or Supplier depends on the applicable engagement model and, where relevant, on a separately executed written agreement.

Nothing on the website or SHP TEAM should be interpreted as an offer of a specific scope of work unless confirmed in writing through an applicable Agreement.

Clients may engage SkilledHubPartners through one of the following models, subject to applicable agreements and project requirements.

Option A — SkilledHubPartners Managed Project

Under this model, SkilledHubPartners provides professionally managed project coordination and execution support to the Client. This may include:

• Professional coordination of the Project
• Quality monitoring
• Documentation support
• Dedicated communication with the Client
• A single point of contact for the duration of the Project

The internal processes used by SkilledHubPartners to manage a Project are proprietary and are not disclosed as part of these Terms.

Option B — Verified Vendor Partnership

Under this model, Clients may choose to work with a Vendor from the SkilledHubPartners Verified Vendor Network. This may include:

• Access to the Verified Vendor Network
• Project coordination support
• Documentation assistance
• Communication support between the Client and the Vendor
• Vendor replacement assistance where commercially reasonable and subject to applicable agreements

Commission structures, vendor selection criteria, and other internal business processes associated with this model are proprietary and are not disclosed as part of these Terms.

Clients agree to:

• Provide accurate and complete information when registering and throughout the engagement
• Make timely payments in accordance with the applicable Agreement
• Provide reasonable site access where required for a Project
• Cooperate reasonably with SkilledHubPartners, Vendors, and Suppliers involved in the Project
• Comply with all applicable laws relevant to the Project
• Communicate in a timely manner regarding Project requirements and changes
• Provide Project approvals within a reasonable timeframe where required

Vendors agree to:

• Maintain accurate and up-to-date information on the Platform
• Conduct themselves professionally in all dealings with Clients and SkilledHubPartners
• Deliver quality workmanship in accordance with Project requirements
• Comply with applicable Project requirements and specifications
• Respect and comply with all Platform policies
• Maintain confidentiality of Client and Project information
• Communicate with Clients and SkilledHubPartners in a timely manner

Suppliers agree to:

• Provide accurate business information on the Platform
• Ensure that all product listings are genuine and accurately described
• Comply with all applicable laws relevant to their products and business
• Ensure honest and transparent pricing
• Maintain acceptable product quality standards
• Communicate with Clients, Vendors, and SkilledHubPartners in a timely manner

Listing on the Platform does not guarantee sales, enquiries, or any specific commercial outcome for a Supplier.

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between SkilledHubPartners and any Client, Vendor, or Supplier. Vendors and Suppliers engage with Clients as independent contractors and remain solely responsible for their own conduct, tax obligations, licences, insurance, and compliance with applicable law.

SkilledHubPartners is not a party to, and does not guarantee the performance of, any underlying agreement entered into directly between a Client and a Vendor or Supplier.

Users must use SHP TEAM responsibly and in accordance with these Terms. The following are strictly prohibited on the Platform:

• Fraud or attempted fraud of any kind
• Creating or maintaining fake profiles
• Submitting false or misleading information
• Engaging in illegal activities through the Platform
• Sending spam or unsolicited communications
• Abusive, threatening, or harassing conduct toward other Users or SkilledHubPartners staff
• Unauthorized access to any part of the Platform, another User’s account, or Platform data
• Misuse of Platform features for purposes other than their intended use

Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. Users must notify SkilledHubPartners promptly upon becoming aware of any unauthorized use of their account or any other breach of security.

SkilledHubPartners shall not be liable for any loss arising from a User’s failure to safeguard their own account credentials.

SkilledHubPartners may request identity documents, business registrations, licences, certifications, and other relevant information from Users for verification purposes. Verification is carried out to support the integrity of the Platform.

Verification of a Client, Vendor, or Supplier does not constitute a guarantee of their future performance, conduct, or the quality of their work or products.

Payment structures vary depending on the Services engaged and the applicable Agreement. Applicable platform fees, subscriptions, service charges, or other commercial arrangements may apply, as communicated to the relevant User at the time of engagement or as set out in an applicable Agreement.

Taxes

Unless expressly stated otherwise, all fees and charges are exclusive of applicable taxes, including Goods and Services Tax (GST), which shall be payable in addition at the rate applicable under law.

Refunds & Cancellations

Except as expressly set out in an applicable Agreement, fees already paid are non-refundable to the fullest extent permitted by applicable law. Cancellation, rescheduling, and refund arrangements specific to a Project are governed by the applicable written Agreement between the parties.

Specific pricing strategies and fee structures are not disclosed as part of these Terms and are governed by the applicable Agreement.

To maintain transparency, accountability, and the integrity of the SkilledHubPartners ecosystem, parties introduced to one another through SkilledHubPartners or SHP TEAM agree to respect the business relationship established through the Platform. All business interactions initiated through SkilledHubPartners or SHP TEAM should continue to be managed through the Platform, in accordance with applicable written agreements, unless otherwise expressly authorized in writing by SkilledHubPartners.

For Clients

Clients are requested not to establish direct business arrangements with Vendors or Suppliers introduced through SkilledHubPartners outside the SHP TEAM platform. All project-related communication, coordination, and commercial arrangements should be conducted through the Platform to ensure proper documentation, support, and dispute management.

For Vendors

Vendors are expected to conduct business relationships with Clients introduced through SkilledHubPartners exclusively through SHP TEAM, unless otherwise authorized in writing by SkilledHubPartners.

For Suppliers

Suppliers are expected to use SHP TEAM for business opportunities, product listings, and commercial interactions arising from the SkilledHubPartners ecosystem, unless otherwise authorized in writing by SkilledHubPartners.

SkilledHubPartners reserves the right to investigate any activity that appears to circumvent the Platform and to take reasonable action, in accordance with applicable law, to protect its business relationships, Users, and legitimate commercial interests.

Confidential business information obtained through SkilledHubPartners or SHP TEAM — including but not limited to Project details, pricing, business processes, and personal data of other Users — must not be disclosed to any third party without proper authorization.

All website content, trademarks, branding, logos, text, graphics, software, and SHP TEAM platform materials remain the exclusive property of SkilledHubPartners, unless otherwise stated. No part of the Platform may be copied, reproduced, distributed, or used without prior written permission from SkilledHubPartners.

Information about how SkilledHubPartners collects, uses, and protects personal data is set out in our separate Privacy Policy, which forms part of these Terms by reference. Users are encouraged to read the Privacy Policy carefully.

To the fullest extent permitted by applicable law, each User agrees to indemnify and hold harmless SkilledHubPartners, together with its officers, employees, and authorised representatives, from and against any claims, losses, liabilities, damages, and reasonable expenses arising out of or in connection with:

• The User’s breach of these Terms or any applicable Agreement
• The User’s misuse of the website or SHP TEAM
• The User’s violation of applicable law
• Any Project-related dispute between a Client, Vendor, or Supplier to which SkilledHubPartners is not a contracting party

This clause survives the termination or expiry of a User’s access to the Platform.

The website and SHP TEAM are made available on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, SkilledHubPartners makes no warranties, express or implied, regarding the operation, accuracy, security, or availability of the Platform.

To the fullest extent permitted by applicable law, SkilledHubPartners shall not be liable for any indirect, incidental, consequential, punitive, or speculative losses arising from the use of the website, SHP TEAM, or the Services.

SkilledHubPartners does not guarantee:

• Project awards
• Business opportunities
• Vendor selection
• Supplier sales
• Profits
• Continuous or uninterrupted Platform availability
• Any specific commercial outcome

Where a Vendor is unable to complete a Project, SkilledHubPartners may assist in identifying an alternative verified Vendor, where commercially reasonable and subject to Project requirements, Vendor availability, and any applicable Agreement. Vendor replacement is offered on a best-efforts basis and is not guaranteed.

Users who abandon their contractual obligations without lawful justification may face suspension, termination of Platform access, recovery of direct losses where legally permitted, and other remedies available under applicable agreements and law. Each case will be assessed on its individual facts and circumstances.

SkilledHubPartners reserves the right to suspend or terminate a User’s account or access to the Platform in cases of fraud, repeated policy violations, unlawful conduct, or material breach of these Terms.

SkilledHubPartners shall not be held responsible for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, government actions, labour disruptions, utility failures, pandemics, and similar events.

SkilledHubPartners may assign, transfer, or novate its rights and obligations under these Terms, in whole or in part, including in connection with a merger, acquisition, corporate restructuring, or sale of assets, subject to applicable law. Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of SkilledHubPartners.

Any notice required or permitted to be given under these Terms shall be considered validly delivered when sent to the email or postal address associated with the relevant User’s account, or when posted on the website or SHP TEAM, as applicable. Users are responsible for ensuring that the contact details on their account remain current and accurate.

Online registration, electronic acceptance, or continued use of the website or SHP TEAM constitutes acceptance of these Terms in full.

If any provision of these Terms is found to be invalid or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with any applicable written agreements, constitute the complete agreement between SkilledHubPartners and the User relating to use of the website and the Platform, and supersede all prior discussions or understandings on the subject.
